By accessing or using TC Tracker, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the platform. We reserve the right to modify these Terms at any time, and your continued use of the platform constitutes acceptance of any changes.

2. Description of Service

TC Tracker is an AI-powered transaction coordination platform designed for real estate professionals. The platform provides document processing, deadline tracking, pipeline management, task automation, and communication tools to streamline the transaction coordination workflow across all 50 states.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information when creating your account and to update your information as needed. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

When using TC Tracker, you agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to the platform, other accounts, or our systems.
• Interfere with or disrupt the integrity or performance of the platform.
• Upload malicious code, viruses, or any harmful content.
• Reverse-engineer, decompile, or attempt to extract the source code of the platform.
• Use the platform to store or transmit content that infringes on the rights of others.

5. Intellectual Property

For custom-built instances of TC Tracker, the client owns the delivered code upon completion and full payment. The TC Tracker name, branding, logos, and proprietary design system remain the exclusive property of TC Tracker and Phase Logic AI. You may not use our branding or trademarks without prior written consent.

6. Payment Terms

TC Tracker services may include a one-time build fee and ongoing monthly maintenance costs. Payment is due per the terms outlined in your service agreement. Failure to make timely payments may result in suspension or termination of your access to the platform. All fees are non-refundable unless otherwise stated in your agreement.

7. Data & Privacy

Your use of TC Tracker is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the platform, you consent to our data practices as described in the Privacy Policy.

8. Disclaimers

TC Tracker is provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied. AI-generated outputs, including document classifications, data extractions, and deadline calculations, should always be reviewed by the user before relying on them. TC Tracker does not provide legal, financial, or professional real estate advice. You are solely responsible for verifying the accuracy of all information and for compliance with applicable laws and regulations.

9. Limitation of Liability

To the maximum extent permitted by law, TC Tracker and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the platform. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Termination

Either party may terminate the service relationship at any time with written notice. Upon termination, you may request an export of your data within 30 days. After the export period, we reserve the right to delete your data from our systems. We may also suspend or terminate your access immediately if you violate these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from or relating to these Terms or your use of TC Tracker shall be resolved through good-faith negotiation, and if necessary, through binding arbitration or in a court of competent jurisdiction.

12. Changes to Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify users via email or a prominent notice on the platform. Your continued use of TC Tracker after any modifications constitutes acceptance of the updated Terms.
